By accessing this website, submitting a quote request, communicating with our sales team about a purchase, or completing an order with Pallet Stock Depot (“we,” “us,” or “our”), you agree to these Terms & Conditions and any written order-specific terms supplied with your quote, invoice, manifest, freight arrangement, or sales confirmation.

Eligibility and Authority
You represent that you are legally able to enter into a binding transaction and that information you provide is accurate. If purchasing for a company or another person, you represent that you are authorized to act on their behalf.
Some inventory programs may require business credentials, resale documentation, tax information, import documentation, or commercial receiving capability.
Permitted Website Use
You may use this website only for lawful purposes related to reviewing inventory, obtaining information, and requesting legitimate wholesale quotations.
Do not submit false, misleading, fraudulent, or unauthorized information.

Liquidation Products and Conditions
Products may include new merchandise, overstock, shelf pulls, open-box goods, customer returns, scratch-and-dent items, refurbished merchandise, salvage, mixed-condition inventory, or assorted goods.
Condition, quantities, brands, packaging, accessories, functionality, completeness, and cosmetic appearance may vary unless specifically guaranteed in a signed written agreement.
Buyers must review the condition description, available photos, manifest status, estimated quantities, order notes, and written quote before payment.
Inventory Availability and Reservation
Liquidation inventory changes frequently and may become unavailable without notice. Website listings, conversations, and quotes do not reserve or hold inventory.
Inventory is reserved only after full payment has been received and verified, unless a separate written agreement expressly states otherwise.
Quotes, Pricing, Taxes, and Fees
Prices and availability may change before payment. A quote is an invitation to complete a transaction under the stated terms and is not an inventory hold or guaranteed offer beyond its written validity period.
Product pricing may exclude freight unless expressly included.
Taxes, duties, customs charges, port fees, inspections, brokerage, liftgate charges, residential fees, and other services may be additional.
Buyers are responsible for reviewing the full quote before paying.
Order-specific written terms control if they conflict with general website information.
Listing, Pricing, and Typographical Corrections
Product descriptions, images, quantities, manifests, categories, specifications, pricing, and other content may contain accidental errors or outdated information.
We may correct obvious errors, withdraw affected inventory, reject or cancel an uncompleted order, or provide corrected terms. If payment has already been accepted for an order that cannot lawfully or reasonably be fulfilled because of a confirmed material error, the matter will be handled in accordance with applicable law and the order-specific written agreement.
Payment Terms
Full payment must be received and verified before inventory is reserved, processed, prepared, scheduled for pickup, released to a carrier, or shipped.
Use only payment instructions verified through our official sales communication.
Do not send payment to altered, unverified, or third-party instructions.
Payment is not considered complete until funds are received, cleared, and verified.
Fraud screening, compliance review, or identity verification may delay acceptance.
Order Acceptance and Cancellation
A submitted form, WhatsApp message, invoice request, or payment attempt does not automatically require us to accept an order. An order is accepted only when payment is verified and we issue confirmation or begin fulfillment.
We may decline or cancel a transaction where inventory is unavailable, information cannot be verified, payment fails, fraud is suspected, shipping is impractical, a listing contains a material error, or completing the transaction may violate applicable law. Any refund obligation will be handled according to applicable law and the written order terms.
Shipping and Worldwide Delivery
We coordinate shipping for pallets, multi-pallet orders, truckloads, and container loads within the United States and internationally. Freight may be arranged by us, a third-party carrier, or the buyer when approved.
Delivery dates and transit times are estimates unless expressly guaranteed in writing.
Carrier delays, weather, customs, port congestion, inspections, strikes, force majeure events, and destination restrictions may affect delivery.
Tracking or carrier information is provided when available.
Freight charges are separate unless the written quote states otherwise.
International Orders
International buyers must confirm that products may be lawfully imported, received, resold, and used in the destination country.
Unless expressly agreed otherwise in writing, the buyer is responsible for import permits, customs clearance, duties, taxes, brokerage, port charges, inspections, storage, demurrage, destination handling, and compliance with local laws.
Local Pickup by Appointment Only
Local pickup may be available in Tampa, Florida by confirmed appointment only. Pickup appointments are scheduled after payment has been received, verified, and the order has been prepared.
Do not arrive at any warehouse, pickup point, or business location without written appointment confirmation and pickup instructions.
Delivery, Receiving, and Inspection
The buyer must provide an accurate delivery address, contact person, operating hours, and receiving requirements. Additional charges may apply for residential delivery, limited access, redelivery, storage, liftgate service, appointment delivery, or incorrect information.
Inspect the shipment before signing whenever possible. Photograph visible damage, pallet count discrepancies, broken wrapping, or missing units and note them on carrier documents. Failure to document freight damage promptly may affect a carrier claim.
Returns, Refunds, and Claims
Return, refund, shortage, defect, cancellation, and claim rights depend on applicable law, the inventory condition, and the written terms supplied for the specific order.
Liquidation merchandise may be subject to restricted-return or final-sale terms where legally permitted. Nothing in these Terms removes rights that cannot lawfully be waived. Review the separate Returns & Refund Policy and the order-specific sales terms before payment.
Warranties and “As-Is” Inventory
Unless expressly stated in a signed written agreement, liquidation products should not be assumed to include manufacturer warranties, retail warranties, guaranteed resale values, guaranteed profit margins, or guaranteed functionality.
Any lawful disclaimer of warranties, “as-is” term, or condition-specific limitation will apply only to the extent permitted by applicable law and as clearly disclosed for the transaction.
Buyer Responsibilities
The buyer is responsible for:
Reviewing listings, manifests, conditions, quantities, and written terms.
Providing accurate contact, business, payment, delivery, and tax information.
Ensuring adequate unloading equipment, labor, storage, permits, and commercial access.
Complying with resale, product-safety, labeling, tax, customs, environmental, export, and consumer-protection laws.
Making an independent business decision about resale value, repair costs, demand, and profitability.
Communications
When you contact us or submit a quote request, you authorize us to respond about that inquiry through the contact methods you provide, including WhatsApp, direct text message, or email.
This does not authorize unrelated marketing where separate consent is required by law. You may ask us to stop non-essential communications, subject to messages needed to complete or document an active transaction.
Intellectual Property
The Pallet Stock Depot name, logo, website design, original text, graphics, layout, and other proprietary materials are owned by or licensed to Pallet Stock Depot and may not be copied, altered, republished, or commercially exploited without permission.
Third-party product names, trademarks, and retailer references belong to their respective owners. Their appearance does not necessarily imply sponsorship, affiliation, or endorsement.
Third-Party Services and Links
The website may use or link to WhatsApp, email providers, freight carriers, payment services, maps, social platforms, or other third-party services. Those services operate under their own terms and privacy practices.
We are not responsible for a third party’s independent systems, outages, policies, security, or performance, except to the extent applicable law provides otherwise.
Limitation of Liability
To the fullest extent permitted by applicable law, Pallet Stock Depot will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, lost resale opportunities, business interruption, or reputational loss arising from website use, inventory condition, carrier delay, or a transaction.
Any limitation does not apply where prohibited by law, including liability that cannot legally be excluded or limited.
Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold Pallet Stock Depot harmless from third-party claims, losses, costs, or liabilities arising from your unlawful website use, false information, resale activities, import or export violations, product modifications, or breach of these Terms.
Governing Law and Disputes
These Terms are intended to be governed by the laws of the State of Florida, without regard to conflict-of-law principles, except where mandatory law requires otherwise.
Any forum, venue, arbitration, jury-waiver, or dispute-resolution clause should be added only after review by a qualified attorney and clear disclosure to buyers.
Severability, Waiver, and Entire Agreement
If any provision is found unenforceable, the remaining provisions remain effective to the extent permitted by law. Failure to enforce a provision is not a waiver.
These Terms, the written quote, invoice, order confirmation, manifest disclosures, shipping terms, and incorporated policies form the agreement for the transaction. Order-specific written terms control over inconsistent general website language.
Changes to These Terms
We may update these Terms to reflect changes in operations, services, technology, or legal requirements. Updated Terms become effective when posted unless another effective date is stated.
